Terms & Conditions – Northside Digital.

Introduction

These Terms & Conditions apply to all services provided by Northside Digital.

By engaging Northside Digital, submitting a form, signing an agreement, or making payment, you agree to these terms.

Services

Northside Digital provides services including:

  • Website design & development
  • SEO & digital marketing
  • Branding & graphic design
  • Print design
  • Hosting & maintenance

The exact scope of work will be outlined in a proposal or agreement before work begins.

Pricing & Payment

Deposits

A deposit is required to secure your project and allocate time.

Deposits are strictly non-refundable.

Final Payment

Final balances must be paid before delivery, launch, or release of files.
Northside Digital may withhold deliverables until full payment is received.

Monthly Services

Ongoing services (SEO, maintenance, hosting) are billed monthly in advance.

Late Payments

Failure to pay may result in:

  • Work being paused
  • Website suspension or removal
  • Restricted access

Outstanding balances remain payable.

Website Packages (6 / 12 Month Agreements)

By entering a website package agreement:

  • You commit to the full 6 or 12 month term
  • Monthly payments must be completed in full

Failure to pay may result in:

  • Website suspension
  • Website being taken offline
  • Termination of the agreement

Any remaining balance may still be payable.

Ownership

Ownership transfers only after full payment of the agreed term.


Until then, the website and all assets remain the property of Northside Digital.

Hosting & Ongoing Fees

For one-off website builds:

  • Ongoing hosting is required to keep the site live
  • Hosting is billed monthly

Failure to pay may result in:

  • Website suspension
  • Website being taken offline

Northside Digital is not responsible for loss of traffic, leads, or business due to suspension from non-payment.

Revisions & Scope

Each project includes up to 3 revision rounds unless otherwise agreed.

Feedback must be provided in one consolidated response. Multiple or ongoing messages may be treated as additional revision rounds.

  • A revision round = one consolidated set of feedback
  • Feedback must be provided clearly and in one go

After revision limits:

  • Additional changes will be invoiced

Any new requests or changes outside the original scope:

  • Will be quoted separately
  • Must be approved before work begins

Client Responsibilities

The client agrees to:

  • Provide content and assets on time
  • Review work promptly
  • Ensure content is accurate and compliant

Delays may impact timelines.

Timelines & Delivery

Timelines are estimates based on:

  • Client responsiveness
  • Content delivery
  • Project scope

Northside Digital is not responsible for delays caused by the client or third parties.

Project Inactivity / Abandonment

If no communication or required input is received for 30 days:

  • The project may be considered abandoned
  • Northside Digital may close the project

All work completed remains payable and all payments are non-refundable.

Restarting may require:

  • A new quote
  • Revised timeline
  • Additional costs

A reminder may be issued before closure.

Marketing & SEO Disclaimer

Northside Digital applies best practices across all marketing and SEO work.

However:

  • No guarantees are made for rankings, traffic, leads, or sales
  • Results depend on factors outside our control (competition, pricing, market, etc.)

You agree that Northside Digital is responsible for delivering the work, not guaranteed business outcomes.

Ownership & Intellectual Property

Websites

Ownership transfers only after full payment.
Until then, all work remains property of Northside Digital.

Creative Work (Branding / Print)

All creatives remain property of Northside Digital until fully paid.
Work may not be used before payment is complete.

Final deliverables transfer upon full payment.


Working/source files are not included unless agreed.

Client Changes & Third-Party Edits

Northside Digital is not responsible for issues caused by:

  • Client edits
  • Staff changes
  • Third-party modifications

Any work required to fix or restore issues caused by these changes will be:

  • Treated as additional work
  • Charged accordingly

Hosting & Third-Party Services

Northside Digital is not responsible for:

  • Downtime
  • Errors
  • Issues caused by third-party providers

Termination

Either party may terminate an agreement.

  • Work completed remains payable
  • Ongoing services may require notice

Liability

Northside Digital is not liable for:

  • Loss of revenue or business
  • Data loss
  • Indirect or third-party issues

Changes to Terms

Terms may be updated at any time.

Governing Law

These Terms are governed by the laws of Ireland.
